Vericant recognizes the importance of protecting your privacy. This privacy notice describes our practices related to personal information privacy and security (“Privacy Notice”).
“Personal Information” is any information that we can use to identify you (such as your name, username or identification number) or contact you (such as your email address or telephone number). Personal Information includes other types of information (such as test scores) when that information is associated with your Personal Information.

This Privacy Notice describes our practices with respect to Personal Information we collect via our websites https://vericant.cn/, https://vericant.com/, and all other Vericant websites, platforms and applications (if applicable) that collect Personal Information from you (“Website”). It also describes our practices with respect to Personal Information collected in other ways, such as when you register for and take Vericant Interview (the “Vericant Interview”), or when we receive information from a school.
We have highlighted the terms and conditions in this Privacy Notice and the relevant Special Notice that are closely related to your rights and interests to draw your attention. Please read and fully understand this Privacy Notice and the applicable Special Notice relevant to you before you use Vericant Website or otherwise provide us with your Personal Information, and make sure you fully understand and agree to such terms and conditions.

Children:
In most cases, we do not knowingly collect Personal Information directly from children under the age of 14 on our Websites. If you are between the age of 14 to 18, you must read and consent to the Privacy Notice under the supervision and direction of your parent or legal guardians. Parents and schools may use our Websites to create accounts for children, such as registering them for tests. We encourage parents and teachers to spend time online with children and to monitor their online activities. If you believe that a child has created an account on our Website, please contact us to have the account deactivated by sending us an email at privacy@vericant.com.
When you choose to use our products, content and/or services as a parent or guardian for the supervised children, we may have to collect the Personal Information of the supervised children from you for the purpose of providing the relevant products, content and/or services. We will obtain your authorization and consent in advance, and inform you of the purpose of collection if we have to collect your supervised children's personal information from you. If you refuse to provide the said information, we may not be able to provide the relevant products, content and/or services to you. As a guardian, you should correctly perform your duties and safeguard your supervised children's Personal Information. If your child is to register or use our products, content and/or services, you should duly guide and supervise them.
Information We Collect
We collect the following types of Personal Information from you when you use our Websites:
“Contact Information” that allows us to communicate with you, such as your name, username, mailing address, telephone numbers, email address or other addresses that allow us to send you messages.
“Relationship Information” that helps us do business with you. For interviewees, this may include the types of tests that you want to take, your school affiliation, your family contact information, expected degree and graduation date, your age and similar information that can help us offer you personalized content.
“Transaction Information” about your activities with Vericant, including your test registration records, test administration records, purchase history, order information about your use of our content (such as if you access your scores online, or complete surveys), and account information (such as if you email us for support).
In some cases, we may need to collect additional sensitive information from interviewees in order to administer the interviews, performing our services, or to fulfill other requests that you may make. In particular:

- We collect audio and video recordings during the Vericant Interviews and/or in our interview locations (including from premises-monitoring equipment).
- As permitted by law, we collect biometric data, such as your voiceprint and your facial recognition and behavioral characteristics during the Vericant Interview.
- We collect your photograph, identification card number and photocopy of your identification card to verify your identity when you register for the Vericant Interview, or when you take the Vericant Interview online or in an offline interview location.
- If you request an accommodation from us regarding interview arrangements for medical or religious reasons, we may collect Personal Information relevant to your request. Similarly, if you request a fee waiver, fee reduction or scholarship, we may collect Personal Information about your financial situation. Providing Personal Information about your religion and/or disability or medical condition and/or financial status is optional, but if you request an accommodation from Vericant, you must provide the information so that we can process your request.
In each case, we will only collect and use these types of Personal Information as permitted by law and as needed for Vericant’s legitimate business purposes, such as maintaining the integrity and security of our interviews.
When you visit and interact with our Websites, we may also collect information that uses cookies and other data-collection technologies. Please see the section on Cookies below to learn more. This Privacy Notice governs us when we associate the information we collect using cookies and other technology with your Personal Information.
How We Use Your Personal Information
We may use your Personal Information to:
- Provide you with the products, content or services selected by you, such as to register you for and conduct interview tests, and send you service-related communications, such as identity verification, score delivery, customer service and account management.
- Subject to your choices, provide you with marketing communications, surveys and offers for products and services from Vericant and our partners, including personalized offers based on your interests and educational goals and to manage your communications preferences.
- Understand how you and others use our Website, products and platforms, for analytics and modeling and to create recommendations and insights and to understand educational trends.
- Deliver messages and sponsored content to you from educational institutions and other partners via platforms.
- Improve our products and services (including for test usability and design, security and research), and to identify, develop and offer new or expanded products and services.
- Understand how you use our Website, products, content and services, including associating you with different devices that you may use to access our content, to help personalize your experience on the Website and customize the content and/or format of the pages you visit.
- Manage our everyday business needs, such as purchase record management, test center management, contract management, Website administration, business continuity and disaster recovery, security and fraud prevention, corporate governance, reporting and legal compliance.
- Generate aggregate statistical studies and conduct research ourselves or jointly with others related to our products and services and the use of our Website.
We may also use your Personal Information in other ways, if you consent to those uses.
Biometric Identifiers
Vericant collects biometric identifiers, such as voiceprint and facial recognition, when recording interview videos for interviewees. But Vericant uses these biometric identifiers solely for the purpose to perform services for interviewees.
Biometric identifiers are securely stored and only accessible to those individuals and entities that the interviewees agree to share in connection with the application of the school.
Disclosure of Your Personal Information
We will only disclose your Personal Information as follows:
- We may disclose your Personal Information to our affiliates, who will only use your Personal Information for the purposes listed above.
- We may disclose your Personal Information to third parties that provide services to us. For example, when you register for a test, we will provide certain registration information to third parties that administer the tests in your area. We use service providers for other functions as well, including data hosting and other business activities such as printing, mailing and/or payment processing. We require such third-party processors to use your Personal Information in accordance with our instructions, and they may not use your Personal Information for their own purposes.
- We may disclose your Personal Information as needed to provide services to you. For example, you may instruct us to disclose your test scores or your interview records to schools and others.
- We may disclose your Personal Information with your consent.
- We may also disclose Personal Information in accordance with applicable law, in connection with any sale or transfer of our business or assets, to assert or defend our rights and property, or to prevent harm to others. For example, we may disclose Personal Information to third parties when we investigate claims of misconduct or other incidents that may occur in our test centers. We will also always disclose Personal Information when required to do so by law, such as in response to a subpoena, including to law enforcement agencies and courts in the People’s Republic of China (“China”) and other countries where we operate.
Please note that we may also use and disclose information about you that is not personally identifiable. For example, we may publish reports that contain aggregated and statistical data. These reports do not contain any Personal Information.
Your Rights and Choices
When you register for a test online or create an account, we ask you to provide your contact details, including email address, telephone and mobile phone details. We use this information so that we can quickly provide you with information regarding the products and services you have requested.
If we have your consent (or if you have not objected), we may send other communications to you, such as surveys and information about Vericant’s services, test products, school programs, include any other marketing communications that Vericant will send to users. You can limit these communications at any time. To opt out of emails, simply reply with “Unsubscribe” to any email we send you. Remember, however, that we may still send emails or call you in order to provide the testing services you have purchased or otherwise requested from us.
We also respect your right to reasonably access and correct your Personal Information, and Vericant complies with all laws regarding access, correction and deletion. If you have an online account, you can log into your account at any time to access and update the information you have provided to us (with the exception of your name, gender, birthday, identification document number, and type of identification document, if provided). If you need assistance updating your Personal Information or if you would like to request that we delete your information, please contact us via email at privacy@vericant.com. Please understand that we will have to verify your identity prior to fulfilling these requests. Additionally, to help ensure the accuracy of our data, we may require appropriate evidence prior to making a change. (For example, if you wish to change your name, we will require proof that your name has been changed legally, such as a marriage certificate or court decree.)

This Website may contain links to other third-party websites. In particular, the Website may contain links to social media platforms, such as WeChat public account, Sina Weibo as well as Facebook®, LinkedIn®, Twitter®, YouTube® and Instagram®. Vericant does not control the privacy policies or practices of these third-party sites. You should review those policies before providing any information, including on a social media page for Vericant. Vericant is not responsible for the content or practices of any third-party sites, and we provide these links solely for the convenience and information of our visitors.
Security and Data Retention
Vericant stores the Personal Information it collects within the territory of People’s Republic of China. Vericant has established safeguards to help prevent unauthorized access to or misuse of your Personal Information. These safeguards include physical, technical, organizational and administrative controls.
If you register for a Website account, you will be asked to select a password to help protect your information. These passwords help us verify your identity before granting access or making corrections to any of your Personal Information. You should never disclose your password to anyone. Vericant will never ask you for your password in an unsolicited phone call or email. If you believe that your password or your account has been compromised, please contact us as soon as possible.
Typically, we will keep your personal information while you have an account with us or while we are providing services to you. Thereafter, we will keep your personal information for as long as is necessary to respond to your questions, complaints, claims or as required by law. We will not retain your personal information for longer than necessary for the purposes set out in this policy. When it is no longer necessary to retain your personal information, we will delete and/or anonymize it. In the event the jurisdiction in which you are located has personal information retention legal requirements that differ with those listed in this Privacy Policy, the rules and regulations of such jurisdiction with respect to personal information retention shall control.

Vericant reserves the right to update this Privacy Notice, including to respond to new laws, regulations, or technology, or for other business reasons. Please check this Website from time to time to review any such changes. Changes will become effective when posted on the Website for all Personal Information collected after the date of the change. If the changes will materially affect the way we use or disclose previously collected Personal Information, we will notify you about the change by sending a notice to the primary email address associated with your account.
International Users and Transfers of Personal Information
Vericant, its Website and its servers are primarily located in China. Therefore, your information, including Personal Information, will be transferred from your location to China. It may also be transferred to Vericant’s server located in the United States, if users request Vericant to share relevant Personal Information with schools in the United States for application. However, regardless of where your Personal Information is transferred, we will protect it in accordance with this Privacy Notice.

These tools allow us to measure response to our communications and improve our web pages and promotions.

Because consumers are often unaware that their do not track beacons are active, do not track frequently does not reflect the actual preferences of our users. We currently do not respond to Do Not Track signals. Special Notice to China Residents
Vericant is providing this supplemental privacy notice to give individuals in the People’s Republic of China (“China”) the additional information required by the Personal Information Protection Law of the People’s Republic of China. These provisions, together with the statements in the Vericant Privacy Notice, explain our practices with regard to the Personal Information of China residents. Vericant will comply with the Personal Information Protection Law of the People’s Republic of China and all other applicable laws when processing Personal Information of China residents.
Vericant Education Consulting (Beijing) Co., Ltd. is specifically responsible for personal information processing activities within People’s Republic of China.
Children
Vericant will further adopt the following measures when processing children’s personal information:
For the Personal Information of children collected, in addition to complying with the provisions of Vericant’s Privacy Notice in processing the same, we will also store, use and disclose it in strict compliance with the requirements of other laws and regulations such as the Provisions on Online Protection of Children’s Personal Information (儿童个人信息网络保护规定), and adhere to the principles of legitimate necessity, informed consent, clear purpose, security and legality, and be retained for the shortest time necessary for fulfilling the purpose of processing. When the Personal Information is no longer necessary for fulfilling the purpose, we will erase or anonymize the children's Personal Information.
When you choose to use our products, content and/or services as a parent or guardian for the supervised children, we may have to collect the Personal Information of the supervised children from you for the purpose of providing the relevant products, content and/or services. We will obtain your authorization and consent in advance, and inform you of the purpose of collection if we have to collect your supervised children's personal information from you. If you refuse to provide the said information, we may not be able to provide the relevant products, content and/or services to you. As a guardian, you should correctly perform your duties and safeguard your supervised children's Personal Information. If your child is to register or use our products, content and/or services, you should duly guide and supervise them.
For collection of personal information of children under the age of 14, we will obtain your separate and express authorization and consent in advance. If you refuse to provide the said information, we may not be able to provide the relevant products, content and/or services to you.
For collection of personal information of children between the age of 14 to 18, joint reading and consent to the Privacy Notice is required under the supervision and direction of the children’s parents or guardians.
Children or their parents and guardians have the right to access, correct and erase the children's personal information.
Vericant has appointed a personal information protection officer to be responsible for the protection of children's Personal Information. If you have any comments, suggestions, complaints and reports on issues related to children's Personal Information, please contact privacy@vericant.com.
Disclosure of Your Personal Information
We will obtain separate consent from you prior to the disclosure of your Personal Information to any third party, contractually require our affiliates to comply with the requirements of the applicable privacy laws in China, and supervise the activities carried out by our affiliates. We will also conduct prior personal information protection impact assessment and comply with other requirements under applicable laws in China.
According to relevant laws, regulations and national standards of China, your authorization or consent is not required for collecting, processing or otherwise disclosing your Personal Information under the following circumstances:
- The collection is necessary for the conclusion or performance of a contract to which you are a contracting party or for conducting human resource management under the labor rules and regulations developed in accordance with the law and a collective contract signed in accordance with the law;
- The collection is necessary to fulfill statutory functions or statutory obligations;
- The collection is necessary to respond to public health emergencies or protect the life, health or property safety of natural persons under emergency circumstances;
- Personal Information is collected by us within a reasonable scope to conduct news reporting, public opinion-based supervision, or other activities in the public interest;
- The Personal Information that has been disclosed by you or legally disclosed, and is collected by us within a reasonable scope in accordance with the Law; or
- Under any other circumstance as provided by any law or administrative regulation.
Sensitive Personal Information
When we collect your Personal Information relating to biometric identification or your other sensitive information, we will obtain separate consent from you. We will also comply with other requirements under applicable laws in China, including to conduct prior personal information protection impact assessment, and to adopt stringent protective measures to protect your sensitive information.
Your Rights and Choices
We highly value your management of personal information and make every effort to ensure your access to, correction, deletion, withdrawal of consent, and other legal rights with respect to your personal information, so that you have the full capacity to safeguard the security of your privacy and personal information.
You can access, modify and copy the Personal Information submitted to us at any time.
You can make a request to us to delete your Personal Information under the following circumstances:
- If our handling of your Personal Information violates the laws and regulations;
- If we collect and use your Personal Information without your consent;
- If our handling of your Personal Information violates the agreement with you;
- If there is no ongoing test registered or other services in your account; or
- Our services are no longer required.
Some functions of the products, content and/or services we provide require us to obtain separate consent from you. You can withdraw such consent at any time after authorization. You may also permanently withdraw all consent or authorizations by canceling your account. You should understand that after you withdraw your consent, we cannot continue to provide you with specific functions or services corresponding to the withdrawal of your consent. However, your decision to withdraw your consent will not affect the previous Personal Information processing activities based on your authorization.
You may cancel your account with us anytime through a verifiable request. After you cancel your account, (i) you will no longer be able to log in and use our products and services with this account; (ii) all rights and interests such as the rights and interests that have been generated but not consumed during the use of our products and services and future overdue interests will be cleared; (iii) the contents, information, data, records under the account will be deleted or anonymized (unless otherwise stipulated by laws and regulations or required by the regulatory authorities, for example, according to the Cyber Security Law of the People's Republic of China, your network operation log will be kept for at least six months); (iv) after the cancellation of account is completed, it cannot be recovered.
Please understand that your above requests shall be made in writing. We may also request you to submit proof to verify your identity prior to fulfilling the above requests. Additionally, to help ensure the accuracy of our data, we may require appropriate evidence prior to making a change. (For example, if you wish to change your name, we will require proof that your name has been changed legally, such as a marriage certificate or court decree.) We endeavour to respond to any verifiable request within fifteen (15) days of its receipt. If we require more time, we will inform you of the reason and extension period required in writing.
We reserve the right to refuse unreasonable requests, such as illegitimate repeated requests, requests demanding overwhelming technical means, requests that may prejudice the legitimate rights and interests of others, unrealistic requests, etc.
According to the relevant laws, regulations and national standards of the People's Republic of China, we will not be able to respond to your request in case of the following circumstances:
- Your request relates to the performance of our obligations under laws and regulations;
- Your request relates to national security and national defense security;
- Your request relates to public safety, public health and major public interests;
- Your request relates to criminal investigation, prosecution, trial and execution of judgment;
- There is sufficient evidence that the request involves subjective malice or abuse of power;
- For the purpose of safeguarding your or other personal life, property and other major legitimate rights and interests, but we are unable to obtain your authorization and consent in time;
- Responding to your request will cause serious damage to the legitimate rights and interests of you or other individuals and organizations; and
- Trade secrets are involved.
International Users and Transfers of Personal Information
When we transfer Personal Data to our affiliates or other third parties, we will obtain separate consent from you, contractually require the third parties to comply with the requirements of the applicable privacy laws in China, and supervise the activities carried out by the third parties. We will also conduct prior personal information protection impact assessment and comply with other requirements under applicable laws in China.
In connection with the transfer of your Personal Information outside of China, we will obtain separate consent from you and inform you of relevant details on the processing of your Personal Information. We will also comply with other requirements under applicable laws in China, including conduct prior personal information protection impact assessment, to sign and file the standard contract for cross-border transfer of Personal Information (if applicable), carry out necessary measures to ensure that the Personal Information processing activities undertaken by the foreign receiving parties meet the personal information protection standard prescribed under the applicable laws.
Special Notice to California Residents
The California Consumer Privacy Act (“CCPA”) provides California residents with specific privacy rights, including the right to receive a privacy notice and to tell companies not to sell your Personal Information.
Vericant is not directly subject to the CCPA. However, we are deeply committed to protecting the privacy and security of all the Personal Information that is entrusted to us. We do not sell Personal Information.
We have a global privacy program that protects your Personal Information no matter how or where it is collected, used or stored. We also comply with the privacy and security laws that are applicable to us. Our Privacy Notice describes our privacy and security practices in detail.

Special Notice to Residents in the European Economic Areas, Switzerland and the U.K.
Vericant is providing this supplemental privacy notice to give individuals in the European Economic Area (“EEA”) the additional information required by the EU General Data Protection Regulation. These provisions, together with the statements in the Vericant Privacy Notice, explain our practices with regard to EEA personal data. These statements also apply to personal data collected in Switzerland and the United Kingdom (post-Brexit).

The Purposes and Legal Basis for Processing, Including Legitimate Interests
The Privacy Notice explains the reasons why we process your Personal Information. We only process Personal Information when we have a legal basis for the processing, such as:
- To fulfill a contract with you, such as to provide you with an English-speaking interview test offered by Vericant.
- For closely related purposes, such as purchase record management, contract management, website administration, business continuity and disaster recovery, security and fraud prevention, corporate governance, reporting and legal compliance.
- With your consent (or provided you have not objected, as may be applicable), such as to provide you with marketing communications or to send your English-speaking interview videos and scores to your designated recipients.
We may also process your Personal Information for the purposes of our legitimate interests, provided that such processing shall not outweigh your rights and freedoms. In particular, we may process your Personal Information as needed to:
- Protect you, us or others from threats (such as security threats or test fraud)
- Improve Vericant’s English-speaking interview tests
- Comply with the laws that are applicable to us around the world
- Enable or administer our business, such as for quality control, consolidated reporting and customer service
- Manage corporate transactions, such as mergers or acquisitions
- Understand and improve our business
When You Are Required to Provide Personal Information to Vericant
In most cases, you are not required by law to provide any Personal Information to Vericant. You are required to provide certain Personal Information to enable us to enter into a contract with you so that you can use our products and services. Our registration forms indicate which data elements are required for our contracts. If you do not provide these data elements, we cannot do business with you.
If you request an accommodation from Vericant, such as special testing conditions needed because of a health condition or disability, you may be required to submit additional Personal Information (including special categories of data) as needed for us to evaluate and respond to your request.
Your Rights
As stated in the Privacy Notice, you always have the right to object to our marketing communications. To opt out of emails, simply reply with “Unsubscribe” to any email we send you.
Vericant also respects the rights of EEA, Swiss and U.K. residents to access, correct and request erasure or restriction of their personal information as required by law. This means:
- You generally have a right to know whether or not Vericant maintains your Personal Information. If we do have your Personal Information, we will provide you with a copy (subject to the rights of others). If your information is incorrect or incomplete, you have the right to ask us to update it.
- You have the right to object to our processing of your Personal Information.
- You may also ask us to delete or restrict your Personal Information.

Please understand that we may need to verify your identity before we can process your request. Additionally, our ability to delete Personal Information will be limited in those cases where we are required to retain records, such as in connection with score reports and test security processes.
If you believe that we have processed your Personal Information in violation of applicable law, you may file a complaint with privacy@vericant.com or with a supervisory authority.
International Transfers
As stated in the Privacy Notice, your Personal Information may be transferred to, stored at or processed in China, the United States and other countries which may not have equivalent privacy or data protection laws.
We generally use approved Standard Contractual Clauses to assure that Personal Information is adequately protected when it is transferred out of the EEA, U.K. or Switzerland, but we may also make transfers to recipients in places that have been declared adequate, with approved Binding Corporate Rules or pursuant to another derogation.

Data Retention
We will retain your Personal Information for as long as the information is needed for the purposes set forth above and for any additional period that may be required or permitted by law. Unless we are required by law or have a legitimate interest to retain your information, we will delete it within 30 days of your request.
